What's a good utility to downgrade an mp3?

I have a crappy mp3 player that only lets me put 32mb of data on it. So I want to convert all the mp3's i want to listen to into 64kbps. What program do I use for this? I've tried CNET, but i'm not even sure what the program could be called.

Musicmatch is pretty good. You can convert all the way down to 8kbps if you wanted to.
