Update: Thankfully, it looks like this sequel won’t be happening. According to a report from the AP, a Paramount spokesperson said no film related to It’s a Wonderful Life can move forward with a license from the studio. They added, “To date, these individuals have not obtained any of the necessary rights, and we would take all appropriate steps to protect those rights.”

The Slate article says that it's the music rights that are the problem. So as long as they don't use the music, couldn't any yahoo release a "sequel"?

What I gather from this is that the footage itself (minus the music) is still public domain, but the story isn't... so you could legally incorporate the footage into another project out of context, so long as the story is 'changed' (which is the tricky part). So I suppose the claim is based on the fact this 'sequel' retains some of the original story elements (references to characters) that are protected. But I'm not a lawyer, so this is just my layman's interpretation.
