Was this an attempt by Stallone to establish a THIRD franchise next to Rocky and Rambo? because i mean, it had it, it had the it factor.

Uh...it made about $160 million (worldwide I think, but still huge numbers for 1986) during its run and was a hit for the first couple of weeks the summer it was released. It was a critical failure to the nth degree, but this was Stallone at the height of his drawing power.
I do think it might have had possibility for a franchise, but I think Stallone's problems with his then wife/co-star made this one something he didn't want to re-visit.

The Expendables is his third franchise. Cobra probably could have been, if it wasn't so cheesy. Personally, that's what I like about it, but it's hard to build a franchise that way. I'm sure he intended it to be a tough Dirty Harry-esque movie, but it was just too ridiculous to be taken seriously. It's great for what it is - like Over the Top - but it's not franchise material by any stretch of the imagination.

Not really. Cobra was originally conceived as Beverly Hills Cop, but Stallone and the studio disagreed on how the film should have been, so he developed it with a different studio and name altogether.

You all need to remember that Cobra was financed by Cannon Films. Warner Bros only distributed the movie. Cannon was notorious for making cheap low budget action films. If I recall correctly, they had financial problems through most of their run as a film studio. I'm sure the profits from Cobra went to paying down debt.
If Warner Bros would have been the sole financier of the movie, then I think a franchise could have existed.
