Is this a good CPU/MoBo combo?

Is this a good CPU/Mobo Combo:

Intel Pentium 4 505 Processor & ECS 848P-A7 Motherboard

- LGA775 CPU w/1MB Cache @ 2.66Ghz 800FSB
- Intel 848P & ICH5 Chipset

It's on sale for $99 at Fry's this weekend and I've been wanting to upgrade my PC's innards for a while now. There's also a Seagate 200GB HD on sale for $49 after rebate. I was thinking of just buying the components one-by-one over a few weeks/months 'til I completed them. Basically all I need is just a new motherboard, CPU and RAM since everything else I have is pretty recent.

You could do better, but not at those prices. It just depends on how much you want to spend. You have a ballpark figure Kal-El?

So what could be better about which one? Is it the motherboard or the CPU? Because right now I'm still running a PIII 500Mhz on the stock motherboard that came with the PC when I bought it from Gateway years ago. Those 2 components and the case are the only originals left. Everything else I've replaced/upgraded over the years. So I think anything P4 would already be a huge step up. Or isn't it?

Money's kinda tight right now so I really don't want to spend over $300 for all 3--MoBo, CPU and RAM.

If you are buying everything from Fry's over a period of time, keep in mind their return policy on all 3 of those items is only 15 days.

I just bought the 1GB PC3200 memory and the Seagate 200GB hard drive today and had to sign a paper stating I understood that policy on these items.
