Amazon Said to Make $9 Billion Offer for MGM

Amazon is weeks into negotiations on a deal to acquire MGM for about $9 billion, industry sources tell Variety.

Chatter that Amazon (and other tech giants) have been sniffing around MGM has circulated for some time. But sources indicated that Amazon’s interest in acquiring the studio has taken on a new tenor beyond the usual rumor mill. The deal is said to be being orchestrated by Mike Hopkins, senior VP of Amazon Studios and Prime Video, directly with MGM board chairman Kevin Ulrich, whose Anchorage Capital is a major MGM shareholder.

Reps for Amazon and MGM declined to comment.

MGM had already effectively nailed up a “for sale” sign: Variety confirmed in December that the company was looking for a buyer.

News of Amazon’s talks with MGM began to swirl this weekend. The Information reported Monday that Amazon was in talks about a potential deal for MGM, which could run between $7 billion and $10 billion. Industry sources said MGM reps have been whispering to prospective buyers for month about a price tag of $9 billion while others see it as worth about $5 billion.

In a sign Amazon has upped its focus on entertainment, last week the company announced that it had tapped Jeff Blackburn, a former high-ranking executive who recently exited the ecommerce giant, to return to Amazon in a new role overseeing a consolidated global media and entertainment group.

Amazon currently has more than 200 million Prime members worldwide, and Jeff Bezos recently told investors that 175 million of those streamed Prime Video content in the past year. The company clearly wants to turn Prime Video into an even bigger habit for its customers worldwide — and a quick way to do that would be to stir MGM’s extensive library of titles into the mix.

MGM claims to own one of the world’s “deepest libraries” of premium film and TV content.

Its 4,000 film titles include the James Bond, Hobbit, Rocky/Creed, RoboCop and Pink Panther franchises, as well as movies like “The Silence of the Lambs,” “The Magnificent Seven” and “Four Weddings and a Funeral.” The MGM TV library includes approximately 17,000 episodes of programming, including “Stargate SG-1,” “Stargate Atlantis,” “Stargate Universe,” “Vikings,” “Fargo,” “The Handmaid’s Tale,” “Get Shorty,” “Condor,” “Fame,” “American Gladiators,” “Teen Wolf” and “In the Heat of the Night.” Unscripted shows in its portfolio include “The Voice,” “Survivor,” “Shark Tank,” “”The Real Housewives of Beverly Hills” and “The Hills.”

For Amazon, media is a relatively small piece of its gargantuan empire but represents a fast-growing business segment. In 2020, the company spent $11 billion on TV shows, movies and music for Prime services — up 40% from the year prior.
This is interesting. It would give Amazon some great movie & TV franchises. And hopefully it would lead to MGM eventually joining Movies Anywhere.

I hope we still get boutique Blu-ray releases. I’m guessing if the new Bond movie bombs this sale will likely happen.

I wonder about that, too.

Since MGM isn't really a thing anymore, they farm a lot of titles out to places like Scream/Shout.

Makes me wonder what Amazon would do once they got a hold of that extensive library; will they still license it out, or hoard it all for themselves? I'd guess the latter.

Streaming seems to be the disruptor of the home entertainment industry. When all of this shakes down in the next few years, makes me wonder if we'll be left with three or four conglomerates owning all content, and using exclusivity as a carrot on the stick for consumers.

Yeah, we still have some non-WarmerMedia content on Warner-owned cable channels like TNT and HBO, but I have to wonder if, eventually, everything will be exclusive to one giant or another, and they do away with discs and licensing entirely. Like, Amazon Prime would be the only way to watch James Bond movies, Disney+ would be the only way to watch Star Wars and Marvel content, Paramount+ (or whoever ends up owning them) would be the only way to watch Star Trek, etc. etc.

Epix recently signed a deal with Paramount. The content should start appearing on Paramount+ in June. I don't know if that includes the Epix TV shows.

Amazon is buying MGM to eventually lock up the content to its platform. Amazon is hostile towards physical media, so start considering that when considering buying MGM discs. They will likely get scarcer and scarcer in the coming years.

The good news is that Amazon has a boatload of cash and willing to spend it. Many MGM films should get much better 4K transfers.

That was for Paramount Pictures titles on Epix.

It was more than just the Paramount titles.


As a result of the expanded relationship, Paramount+ — ViacomCBS’ streaming service that launches on March 4 — will gain access to the theatrical films licensed to Epix from Paramount Pictures, as well as from other studios, including MGM, adding thousands of films to Paramount+’s film offering in the coming months. Well... that is weird. This stuff is so convoluted now.

You'll also eventually have an Amazon-owned MGM producing stuff like Handmaid's Tale and Fargo for Disney owned Hulu and FX. Sure, it wasn't too weird when rival studios air others on their networks on broadcast TV, but in this fight for streaming and owning content, it's just so messy with all the licensing going on.

Yes...considering there is a pitch out there already it would be a wise move for Amazon to launch a new Stargate series and/or a series of tele-films to wrap up the Atlantis and Universe storylines. Plus, with The Expanse coming to an end it would be a smart move to get another beloved sci-fi series back on the air.
