By participating in this Offer promotion ("Offer"), you acknowledge that you have read, understood, and agree to be bound by these official terms and conditions.

1. Promotion Description: The Offer begins at 12:00:01 AM Pacific Time (PT) on April 24, 2007 and ends 11:59:59 PM PT on May 13, 2007 (the "Offer Period"). Eligible Participants (defined below in Rule 4) will receive $5.00 USD rebate (or the Canadian equivalent of $5.00 USD) by registering for this offer and using their PayPal account to make a single payment of at least $20.00 USD or $23.23 CAD (including shipping and taxes) on an eligible website.

2. How To Receive $5.00 USD Rebate.
A. Qualifying for the Offer: To qualify for this Offer, you must complete the following requirements:
(i) Eligibility: Meet the eligibility requirements stated in Rule 4 below.
(ii) Registration: Register for the Offer during the Offer Period by going to : https://www.paypal-promo.com/greatsh...5/general.html and providing the primary email address associated with your PayPal account. Limit one registration per PayPal account.
(iii) Eligible Purchase: Once registered, you must use your PayPal account to make a single payment of at least $20.00 USD or $23.23 CAD (including shipping and taxes) during the Offer Period on United States or Canadian websites that accepts PayPal except for exclusions as stated in Rule 3 below.

B. Rebate Payment: The rebate payment will be deposited into your PayPal Account by June 10, 2007. If you are a user in Canada you will receive the Canadian Dollar equivalent of the $5.00 USD rebate. The Canadian Dollar equivalent of $5.00 USD will be calculated at a date determined by PayPal. Limit one $5.00 USD (or the Canadian equivalent) rebate per registration.

3. Excluded Transactions. The following transactions are excluded from this offer: Purchases made on eBay or on any web site or company's web site owned in whole or in part by eBay Inc., including but not limited to, www.ebay.com, www.ebay.ca, www.half.com, www.skype.com, www.shopping.com, www.stubhub.com. In addition, the following transactions are excluded: Send Money transactions, donations, PayPal Mobile transactions, payments for services, Virtual Debit Card payments, PayPal ATM/Debit Card payments, payments made when you are not logged into your PayPal account, and PayPal Plus Credit Card payments not made through your PayPal account. If the payment is refunded or cancelled at any time you are not eligible for the $5.00 USD rebate. If the payment is refunded after you receive the rebate, PayPal will deduct the rebate amount from your account.

4. Eligibility:
a. This offer is limited to the following users only:
i. Users in the United States who receive this Offer in an email sent to them directly from PayPal. Some users who receive the email Offer may also receive this Offer on the Account Overview page while they are logged into their PayPal accounts or while logging out.
ii. Users in Canada who receive the Offer in the Account Overview page while logged into their PayPal accounts.
b. Eligible users in the United States and Canada will receive a successful registration notification when they register for the promotion.
Participants must be registered PayPal account holders and must be legal United States or Canadian residents ("Eligible Participants"). You will not be eligible for the rebate if your PayPal account is not in good standing.

5. Restrictions: Offer is available for a limited time only, PayPal reserves the right to cancel, suspend or modify part or all of this Offer at any time without notice, for any reason in its sole discretion. This Offer cannot be resold, transferred, or combined with any other offer, discount, or promotion. This offer can only be promoted by PayPal.
