Kind of different movies.
It Happenned One Night is an excellent Romantic Comedy.
It's a Wonderful Life is a real sentimental, spirit of giving, tearjerker, fictional biopic. Still a classic though and a great special edition.
My recommendation would be both.
If I had to choose, I'd probably go with It's a Wonderful Life, but that's because I don't watch it at Christmas when it's replayed everywhere, every year.

I would go with It Happened One Night. It is one of the best comedies available on DVD, not to mention one of the greatest films of all time (in my humble opinion) and the disc itself is awesome. Great audio and video quality, and it has some cool extras (vintage advertising material, radio broadcast, trailers, a Frank Capra Jr. commentary).
As for It's a Wonderful Life, I'm possibly the only person in the world who can't stand it (this coming from a gargantuan film history buff who is especially fond of 1930s & 1940s cinema). The DVD has the same MSRP as It Happened One Night, and also has high audio/visual quality. The extras include trailers, a documentary and a tribute to Capra.

I'm pretty much with Blade on this one. Watch 'em both. It Happened One Night is essential 30's comedy, and It's a Wonderful life is essential Capra Americana.
It's a Wonderful Life gets accused of being sappy, but the premise, that an unremarkable life can make a difference, still holds up.
