Is 39.99 for season 1 of Lost a good price or should I hold out for a better deal?

Here's the thing: It's a FAIR price for a great set.

The only time I've seen it lower was during the first week of sale when it was $29.99 if you had bought the Desperate Housewives set which came with a $10 coupon towards Lost.

It really is a TERRIFIC set.

I tend to doubt it that it will have the movie ticket. The ad does not indicate that it will.

I would say that they would allow you some leeway here.

They will probably ask you to return your previously purchased Emily Rose and then "re-buy" that title with another qualifying title from the 2 for $20 list.
