Have noticed that the 2802 is about $200 +/- cheaper than the 3802. Is the 3802 worth the extra $200?

yes...always buy a little more than you need...You'll never miss the 200 in a year from now.

The 3802 is 7.1 ready, or upgradeable, I can't remember, but, it's definitely a good feature to have for the future. If you can't afford the extra 2 bills, the 2802 is perfectly good 5.1 receiver that you could certainly be happy with for a good time to come.
